3、货物应装在适宜长途运输并且能适应气候变化、防湿、防震、防锈的纸箱（木箱）中。由于包装不良所引起的任何损失, 或由于采用不充分或不妥善的防护措施而造成的任何锈损, 卖方都应承担一切损失和相关费用。包装箱内应放置一整套操作指南。Packing:To be packed in carton(s) or wooden case, Suitable for long distance transportation and to change of climate, well protected against moisture and shocks. The Sellers shall be liabl

4、e for any damage of the commodity and expenses incurred on account of improper packing and for any rust attributable to inadequate or improper protective measures taken by the Sellers in regard to the packing. One full set of operation instructions concerned shall be enclosed in the case(s).3. 装箱标志:

5、 卖方应在每件商品包装上用不褪色油墨标明件号、毛重、净重、尺码和如下字样: “切勿受潮”、 “小心轻放”、 “此端向上” 等:Shipping Mark：The Sellers shall mark on each package with fadeless paint the package number, gross weight, net weight, measurement and the wordings: “KEEP AWAY FROM MOISTURE”, “HANDLE WITH CARE”, “THIS SIDE UP”, etc., ZHENGZHOU ,CHINA4.

6、装运期限：收到货款 60 天内发货。Time Of Shipment：within 60 days after receipt of T/T. 5. 装运口岸： 郑州保税库。Port Of Loading: Zhengzhou Bonded Warehouse6. 目的口岸：郑州Port Of Destination：zhengzhou7 保险：由卖方承担。Insurance: To Be Covered By the Seller.8.付款条件：100% T/TTerms Of Payment: 100% T/T9.单据 Document:1)、发票两份, 注明合同号及合同中其它细节 .。C

8、厂(卖方)签发的质量、数量证明书各两份。Certificate of Quality and Quantity, each in duplicate, issued by the manufacturers (sellers).10. 包装证明:熏蒸证明并在外包装上加施 IPPC 标识（如为木箱包装）或非木质包装证明。Packing Certificate: Beneficiarys certificate certifying that the wood packaging materials in this shipment have been treated and officially

9、 marked IPPC or beneficiarys certificate of NO-WOOD packing materials.11. 装运通知: 卖方在货物装运后 ,应在两天内将合同编号、商品名称、数量、毛重、发票金额、和起运日期用传真通知买方。Shipping Advice:The Sellers shall within 2 days upon the completion of the loading of the goods, advise by fax to the Buyers of the contract No., commodity, quantity, gro

10、ss weight, invoiced value,and date of dispatch.12. 品质保证 Guarantee of Quality:保证货物系全新，未曾用过，并完全符合本合同规定的质量、规格和性能。The Sellers shall guarantee that the goods are brand new, unused and correspond in all respects with the quality, specifications and performance as stipulated in this Contract.13. 检验和索赔 Insp

11、ection And Claims: 在交货以前，制造厂应就订货的质量、规格、性能、数量/重量做出准确和全面的检验，并出具货物和本合同规定相符的证明书。The manufactures shall before making delivery, make a precise and comprehensive inspection of goods as regards their quality, specifications, performance and quantity/weight, and issue certificates certifying that the goods

12、are in conformity with the stipulations of this Contract. The certificates shall form an integral part of the documents to be presented to the paying bank for negotiation /collection of payment but shall not be considered as final in respect of quality, specifications, performance and quantity/weigh

Particulars and results of the test carried out by the manufacturers must be shown in a statement to be attached to the said Quality Certificate.14. 不可抗力: 无论在商品制造或装运或转运期间, 如有不可抗力事件发生, 卖方将不对由此而导致的逾期或不能交货负责。但此时, 卖方应立即将不可抗力事件通知买方, 并于通知后十四天内以传真方式向买方提供一份由不可抗力事件发生地权威机构出具的不可抗力事件证明。卖方不能取得出口许可证不得作为不可抗力。在这

14、种情况下, 卖方仍有义务竭尽全力尽快交货。如不可抗力事件持续超过十周, 买方有权撤销合同,买方在银行所支付的费用由卖方承担.Force Majeure: The Sellers shall not be hold responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or the course of loading or transit. The Sellers s

15、hall advice Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers should send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Sell

16、ers inability in obtaining export license shall not be considered as Force Majeure. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall ha

17、ve right to cancel the Contract, the sellers bear the expenses which paid to the bank by the buyers.15. 迟交和罚款:如延迟交货除人力不可抗事故者外，卖方应付给买方每一星期按迟交货总值的 0.5%的迟交罚款，不足一星期的迟交日作为一星期计算，此项罚款总额不超过全部迟交货物总值的 5%，在议付货款时由银行代为扣除，或由买方在付款时进行扣除。如果卖方交货延期超过合同规定的 10 个星期时, 买方有权取消合同.尽管取消了合同,但卖方仍须立即向买方交付上述规定罚款 .Late Delivery And

18、 Penalty: In case of delayed delivery, except for force majeure cases, The Sellers shall pay to the Buyers for every week of delay a penalty amounting to 0.5% of the total value of the goods whose delivery has been delayed. Any fractional part of a week is to be considered a full week. The total amo

19、unt of penalty shall not, however, exceed 5% of the total value of the goods involved in late delivery and is to be deducted from the amount due to the Sellers by the paying bank at the time of negotiation, or by the Buyers direct at the time of payment. The buyers can cancel the contract if the sel

20、lers delivery date is delayed up to 10 weeks according to the contract, but the sellers still must offer the above penalty to the buyers without conditions.16. 仲 裁 ： 一切因执行本合同或与本合同有关的争执, 应由双方友好协商解决。 如经协商仍未能达成协议, 则应提交中国国际经济贸易仲裁委员会裁决。 按照申请仲裁时该会现行有效的仲裁规则, 由申诉一方选择该会由该会上海分会在上海进行仲裁。仲裁委员会的裁决为终局裁决, 对双方均有约束力。

21、仲裁费用除仲裁委另有决定外, 应由败诉一方负担。Arbitration: All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case may then be submitted to China International Economic and Trade Arbitration Commission for arbitr

22、ation, which shall be conducted by its Shanghai Sub-Commission in Shanghai in accordance with the Commissions arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties; both parties shall not seek recourse to a law court or other a

23、uthorities to appeal for revision of the decision. The arbitration fees shall be borne by the losing party unless otherwise awarded by the Commission.17. 本合同正本一式二份，合同双方各持一份。 合同的中英文本如有解释不一致处，以英文为准。本合同经双方签署后生效。This contract is made in Chinese/English with equal validity, but the discords on the contra

24、ct are to be explained with the English version.
