1、珠海经济特区民营经济促进条例Ordinance on Promotion of Private Economy of Zhuhai Special Economic Zone(2015 年 12 月 25 日珠海市第八届人民代表大会常务委员会第三十一次会议通过)(Adopted by the 31st Session of the Standing Committee of the 8th Municipal Peoples Congress of Zhuhai on December 25, 2015)第一章 总则Chapter I General Provisions第一条 为了优化民营经

2、济组织经营环境,保护其合法权益,推动民营经济创新,促进民营经济发展,根据有关法律、行政法规的基本原则,结合珠海经济特区实际,制定本条例。Article 1 This Ordinance is enacted in accordance with basic principles of relevant laws and administrative regulations and in light of the actual conditions of Zhuhai Special Economic Zone, with a view to optimizing business enviro

3、nment of private economy, protecting its legal interests, promoting its innovation and stimulating its development.第二条 本条例所称民营经济,是指除国有独资、国有控股和外资独资、外资控股之外的经济形式,其主体为依法在本市注册成立或者在本市开展投资、经营的公司、合伙企业、个人独资企业以及个体工商户等各类民营经济组织。Article 2 For the purpose of this Ordinance, private economy refers to an economic f

4、orm other than solely state-owned form, state-controlled form, solely foreign-owned form, and foreign-controlled form, the main body of which can be various kinds of private economic organizations registered, invested, operated in this municipality including company, partnership enterprise, individu

5、al business establishment and individual businesses.第三条 促进民营经济发展应当坚持规则平等、机会平等、权利平等的原则,保障民营经济组织公开公平公正参与市场竞争、同等受到法律保护。Article 3 Principles of equal regulations, equal opportunities and equal rights shall be adhered in stimulating the development of private economy, to guarantee private economic organi

6、zations open, fair and impartial participation in market competition and equal rights to protection of law.第四条 市、区人民政府(以下简称“市、区政府”)应当加强对民营经济发展工作的领导,制定民营经济发展中长期规划,为民营经济发展创造有利环境。横琴新区、经济功能区管理机构履行区人民政府的职责。Article 4 The municipal and district peoples government (hereinafter referred to as “municipal and

7、district governments”) shall strengthen their leadership in the development of private economy and formulate medium-term and long-term planning to create an enabling environment for the development of private economy.Administrative authorities of Hengqin New Area and economic functional areas shall

8、carry out the duties of the district governments.第五条 市民营经济行政管理部门是民营经济主管部门,负责民营经济发展的协调、指导和服务工作。发展和改革、财政、科技和工业信息化、商务、金融、人力资源和社会保障、工商、质监等行政管理部门按照各自职责做好促进民营经济发展工作。Article 5 The Municipal Administrative Department of Private Economy is the department in charge of private economy, being responsible for th

9、e coordination, direction and service of development of private economy.Administrative departments in charge of development and reform, finance, technology and industrial informatization, business, financials, human resources and social security, industry and commerce, and quality supervision shall,

10、 in accordance with their respective functions and duties, do well in promoting development of private economy.第六条 市、区政府应当设立促进民营经济发展专项资金,纳入年度财政预算,并逐步加大资金投入力度,用于支持本市民营经济发展、改善民营经济发展环境。Article 6 The municipal and district governments shall set up a special fund for the development of private economy, i

11、nclude it into the annual financial budget, and gradually increase investment to support the development of private economy of this municipality and improve its developing environment.第七条 工商业联合会协助政府管理和服务民营经济组织,促进民营经济发展。Article 7 The Association of Industry and Commerce will assist the government in

12、managing and serving private economic organizations, to promote the development of private economy.第八条 行业协会、商会等社会组织应当依法维护民营经济组织合法权益,向民营经济行政管理等部门反映民营经济组织的需求和建议,开展促进民营经济组织发展的各项服务活动。Article 8 Industry association, chamber of commerce and other social organizations shall protect the legal interests of p

13、rivate economic organizations in accordance with laws, report the needs and suggestions of such organizations to the Municipal Administrative Department of Private Economy, and initiate various service to promote the development of private economy.第二章 公共服务Chapter II Public Service第九条 法律、法规未禁止进入的行业和领

14、域,民营经济组织均可以平等进入。Article 9 The private economic organizations shall have the right to equally enter any industry and field that not prohibited by laws and regulations.第十条 市政府促进混合所有制经济发展,支持民营经济组织通过参股、控股等多种形式参与公有制企业的改制上市、兼并重组、项目投资。Article 10 The municipal government shall promote the development of mix

15、ed ownership economy and support the private economic organizations to participate in the restructuring and listing, merger and reorganization, and project investment of public ownership enterprises by means of participation, holding and otherwise.第十一条 加强政府与民营资本合作,鼓励民营经济组织参与提供公共服务,取消民营资本进入公共服务领域的不合理

16、限制,通过特许经营、购买服务、股权合作等方式,建立利益共享、风险分担及合作机制。Article 11 The cooperation between the governmental and private capital shall be strengthened, to encourage private economic organizations to participate in provision of public services, cancel the unreasonable restrictions on private capitals entering to publ

17、ic service field, and establish benefit-sharing and risk-sharing cooperative mechanism by means of franchise, purchasing service and equity cooperation.第十二条 政府支持民营经济组织通过特许经营方式进入本市能源、交通运输、水利、环境保护、市政工程等基础设施和公用事业领域。有关部门应当通过举办政府投资项目推介活动等措施予以引导。政府应当通过招标、竞争性谈判等竞争方式选择特许经营者,并可以依法授权特许经营者向用户收取费用。政府应当按照特许经营协议全

18、面履行义务,为特许经营者建设运营特许经营项目提供便利和支持。Article 12 The government shall support the private economic organizations to enter the fields of energy, transportation, water conservancy, environmental protection, municipal engineering and other fields of infrastructure and public utilities by means of franchise. Re

19、levant departments shall give directions through measures like holding promotional activities of governmental investment projects.The government shall select franchisees by bidding, competitive negotiation and other competitive methods, and may authorize the franchisees by law to charge the users.Th

20、e government shall fully carry out its obligations in accordance with the franchise agreement to provide convenience and support for franchisees to run franchise projects.第十三条 政府采购主管部门应当为民营经济组织参与政府采购提供指导和服务。Article 13 The competent procurement department of the government shall provide guidance and

21、service for private economic organizations to participate in governmental procurement.第十四条 市、区政府制定政策措施,引导民营经济组织向高端制造业、高新技术产业、高端服务业及特色海洋经济和生态农业领域转型;支持民营经济组织设立综合性的现货商品交易所和大宗商品交易市场,发展进出口企业总部和服务外包产业。Article 14 The municipal and district governments shall formulate policies and measures to lead the trans

22、formation of private economic organizations to fields of high-end manufacturing, high and new technology industry, high-end service, characteristic marine economy and ecological agriculture; support private economic organizations to establish comprehensive spot commodity exchange and staple commodit

23、y trading market, and develop headquarters of import and export enterprises and service out-sourcing industry.第十五条 有限责任公司的出资人可以用研发技能、管理才能等人力资本出资。人力资本出资的评估方式应当由全体出资人协商确定,在公司章程中载明出资人的姓名或者名称、人力资本内容、出资的期限、评估方法及价格等事项,并在商事主体登记许可及信用信息公示平台公示。Article 15 Contributors of limited liability companies may make co

24、ntribution in form of human capital including research technology and management skills.The evaluation method of human capital contribution shall be negotiated and determined by all contributors. Items like name or designation of contributor, content of human capital, time limit of contribution, eva

25、luation method and price shall be specified in the articles of association and publicized in the disclosure platform of commercial subject registration permit and credit information.第十六条 区政府应当引导小微民营企业向工业园区、科技园区集聚发展,在场地租金等方面对符合产业政策导向的入驻企业予以优惠或补贴。区政府以购买服务等方式,为小微民营企业免费提供管理指导、技能培训、市场开拓、标准咨询、检验检测认证等服务。本条

26、例所称小微民营企业,按照国家中小企业划型标准规定的小型、微型企业标准确定。Article 16 The district governments shall lead the small and micro private enterprises to move to industrial park and science park to realize agglomeration development and give privileges and subsidies in aspects like rental costs to the entered enterprises satis

27、fying the orientation of industrial policies.The district government shall, by means of purchasing service, provide free management guidance, skill training, market exploration, standard advisory, verification, testing and certification and other services for the small and micro private enterprises.

28、The small and micro private enterprises as mentioned in this Ordinance shall be determined in accordance with the standards of small and micro enterprises stipulated by the states classification standards of small and medium-sized enterprises.第十七条 人力资源和社会保障部门应当组织有关专家和企业界人士成立创业辅导专家团队,为创业者提供各种层次的创业辅导服

29、务。有关部门应当加强创业服务工作,为创业人员提供政策咨询、创业培训等指导和服务。Article 17 The human resources and social security department shall organize relevant experts and businessmen to establish an expert team of business guidance to provide business guidance services at different levels for the entrepreneurs.Relevant departments

30、shall reinforce business guidance services to provide guidance and services including policy advisory and entrepreneurial training for the entrepreneurs.第十八条 市、区政府应当加强民营经济创业创新基地的规划和建设,增强创业创新基地为创业人员提供创业创新培训、项目策划、技术支持、融资担保、商务代理等服务功能。鼓励社会资本利用工业园区、闲置厂房等投资建设民营经济创业创新基地。Article 18 The municipal and distric

31、t governments shall strengthen the planning and construction of entrepreneurship and innovation base of private economy and enhance the functions of such base to provide entrepreneurship and innovation training, project planning, technical support, financing guarantee, business agent and other servi

32、ces to the entrepreneurs.Social capital shall be encouraged to be used in the investment and construction entrepreneurship and innovation base of private economy by making use of industrial park and idle workshop.第十九条 支持民营经济组织取得质量、节能环保、职业健康等领域的管理体系认证和产品认证。鼓励和扶持民营经济组织实施品牌发展战略,发展具有珠海特色的产品和服务,提升产品质量、开发

33、自主品牌、培育名牌产品。Article 19 Private economic organizations shall be supported to acquire management system certification and product certification in fields of quality, energy conservation and environment protection and occupational health.Private economic organizations shall be encouraged and supported

34、to implement brand development strategy, develop products and services with the characteristics of Zhuhai, improve product quality, develop self-owned brands, and cultivate famous-brand products.第二十条 支持民营经济组织推行先进的质量管理方法。引导民营经济组织采用国际先进标准,制定高于国家标准、行业标准或者广东省地方标准的企业先进标准。支持本市产业集群度高的民营经济组织建立标准联盟组织,制定联盟标准或

35、者团体标准。Article 20 Private economic organizations shall be supported to implement advanced quality control method and shall be led to adopt international advanced standards and to formulate advanced enterprise standards higher than the national standards, industrial standards or provincial standards e

36、stablished by Guangdong province.Private economic organizations with high degree of industrial cluster shall be supported to establish standard alliance and formulate alliance standards or group norms.第二十一条 民营经济组织平等享受本市有关人才培养、引进、评价、保障、激励等制度和优惠政策。Article 21 The private economic organizations shall ha

37、ve the right to equally enjoy the systems and policies with respect to cultivation, introduction, evaluation, protection and encouragement of talent stipulated by this municipality.第二十二条 国土部门设定项目用地招标、拍卖、挂牌准入条件,应当坚持规则平等,不得设置对民营经济组织不平等的条款。政府对民营经济组织的土地、房屋征收以及其他合法权益的补偿,应当与其他形式经济组织的标准一致。Article 22 The la

38、nd department shall establish the entry conditions for bidding, auction and public transfer of project land, adhere to equal regulations and shall not establish unfair terms for private economic organizations. The governments compensation for expropriation of land and houses and other legitimate rig

39、hts of private economic organizations shall coincide with those of other economic organizations.第二十三条 民营经济组织需要扩大生产性用房的,经规划部门批准,可以使用其工业、仓储用地进行建设,在符合安全标准的前提下,对建筑物进行加层、改造或者建设地下储存仓库,但不得改变土地用途。国土部门不收取工业、仓储用地超出容积率 1.0 部分的土地价款。Article 23 Private economic organizations that need to enlarge production worksh

40、op may, upon approval of the planning department, use industrial and warehouse land for construction. They may add layers, alter or construct underground storehouse on provided that safety standards are satisfied, but the land use shall not be changed. The land department will not collect the land c

41、ost of industrial and warehouse land with a plot ratio above 1.0.第二十四条 市、区政府及有关部门应当通过多种方式,主动公开有关支持民营经济发展的政策措施及其适用范围、标准和条件、申请程序等信息,方便民营经济组织查询。市民营经济行政管理部门应当组织有关部门为民营经济组织提供相关咨询、说明等服务。Article 24 The municipal and district governments and other departments concerned shall actively publicize information c

42、oncerning the policy measures to support the development of private economy and the application scope, standards and requirements, and application procedures of such measures, making it more convenient for private economic organizations to search.The Municipal Administrative Department of Private Ec

43、onomy shall organize departments concerned to provide relevant services of consultancy and instruction for private economic organizations.第二十五条 市民营经济行政管理部门建立市民营中小企业公共服务平台,为全市民营经济组织提供信息发布、政策咨询、接受和处理诉求、科技成果转化、市场对接、产品展示等政务服务。有关部门可以采取购买服务等方式委托行业协会、商会、专业机构等社会组织为民营经济组织提供公共服务。Article 25 The Municipal Admin

44、istrative Department of Private Economy shall establish municipal public service platform of small and medium-sized private enterprises, to provide all private economic organizations in this municipality with governmental services including information release, policy advisory, claim acceptance and

45、management, transformation of scientific achievements, market linkage and product display.Departments concerned may, by means of purchasing service and otherwise, entrust social organizations like industry association, chamber of commerce and professional institution to provide public services for p

46、rivate economic organizations.第二十六条 市、区政府应当通过各种途径,鼓励民营经济组织参与公共管理政策的制定。市、区政府及其有关部门的重大决策涉及企业利益时,应当召开听证会或者以其他形式听取有关民营经济组织以及行业协会、商会等社会组织的意见和建议。Article 26 The municipal and district governments shall, by various means, encourage private economic organizations to participate in the formulation of public management policy.In the course of making major decisions that are in relation to the enterprise benefits, the municipal and district governments and departments concerned shall hold a hearing or other forms of activities to listen to opinions and suggestions of social
