1、中国科学院武汉物理与数学研究所软件最终用户授权许可协议重要提示 - 请认真阅读：本中国科学院武汉物理与数学研究所软件最终用户许可协议 （以下简称协议 ）是您（自然人、法人或其他组织）与中国科学院武汉物理与数学研究所之间（以下简称“武汉物数所” ）有关复制、下载、安装、使用武汉物数所软件产品（包括但不限于源代码，程序库与应用软件等）以及任何相关材料（统一称作“软件” ）的法律协议，同时本协议亦适用于任何有关本软件的后期更新和升级。一旦复制、下载、安装或以其他方式使用“软件” ，即表明您同意接受本协议各项条款的约束。如果您不同意本协议中的条款， 请勿复制、下载、安装或以其他方式使用本“软件” 。1
2、. 知识产权I. 本“软件”知识产权归武汉物数所独立所有。 “软件”的结构、组织和代码以及与“软件”相关的所有信息内容为武汉物数所的商业秘密和保密信息，均受著作权法和国际著作权条约以及其他知识产权法律法规的保护。II. 本协议对您使用“软件”的授权并不意味着武汉物数所对其享有的知识产权也进行了转让。在未经授权的情况下不得将“软件”用于商业用途。III无论如何，即无论用途如何、是否经过修改或美化、修改程度如何，只要使用本软件的整体或任何部分，未经武汉物数所书面授权许可，软件的版权标识（Powered by WIPM）和武汉物数所官方网站（ http:/）的链接都必须保留，而不能清除或修改。2.

5、升级，但武汉物数所没有为根据本 协议许可的“软件”提供维护或更新的责任。3. 测试版“软件”：测试版“软件”其性能和兼容性均未能达到最终全面发布版本的级别，将来也存在对“软件”进行重大更改的可能，其仅供测试“软件”之用，请勿用于正式工作中。4. 权利和所有权的保留：武汉物数所保留所有未在本协议中明确授予您的权利。5. 约束和限制：I. 未获商业授权之前，不得将本软件用于商业用途。II. 武汉物数所提供的或您获得的有关本“软件”的任何信息只能由您为本协议许可的目的而使用，不得透露给任何第三方或用于创建任何与本“软件”风格基本相似的软件。III. 您同意不对本“软件”进行修改、改编、对其制作衍生作
6、品、反编译、逆向工程、反汇编，或以其他方式试图从本“软件”取得源代码，或从“软件”文档中摘取其实质部分作其他应用。IV. 禁止对本软件或与之关联的商业授权进行分发、出租、出售、抵押或发放子许可证。V. 若您以电子方式收到软件的第一份拷贝，而后以存储媒质的方式收到第二份拷贝，则第二份拷贝只可用于存档，不得转让或供他人使用。6. 免责说明：在任何情况下，对于因使用或无法使用本软件而导致的任何损失（包括但不仅限于业务中断或业务信息丢失） ，武汉物数所概不承担任何责任，即使武汉物数所已被告知可能会造成此类损失。在任何情况下， 武汉物数所均不就任何直接的、间接的、附带的、后果性的、特别的、惩戒性的和处罚
7、性的损害赔偿承担任何责任，无论该主张是基于保证、合同、侵权（包括疏忽）或是基于其他原因作出。有关本软件最终用户授权协议与技术服务的详细内容，均由武汉物数所（http:/）提供唯一的解释。 武汉物数所拥有在不提前通知的情况下，修改授权协议的权力，修改后的协议对自改变之日起的新授权用户生效。7. 协议终止：您一旦开始安装本软件，即被视为完全理解并接受本协议的各项条款，在享有上述条款授予的许可权力同时，也受到相关的约束和限制，本协议许可范围以外的行为，将直接违反本授权协议并构成侵权。一旦您违反本协议的条款，武汉物数所随时可能终止本“协议” 、收回授权，并要求您承担相应法律责任。8. 第三方程序：此软
8、件可能包含第三方程序。 当使用第三方程序时， 应用这些程序的许可条款。武汉物数所不承担任何责任。本协议受中华人民共和国法律管辖。如您与武汉物数所就本协议的相关问题发生争议，双方均有权向武汉物数所所在地管辖法院提起诉讼。End User License Agreement for the Wuhan Institute of Physics and Mathematics, Chinese Academy of Science Software ProductsIMPORTANT - READ BEFORE COPYING, INSTALLING OR USING. This end user
9、license agreement (hereinafter referred to as “Agreement”) is a legal contract between you, as a natural person, legal person or other organization, and Wuhan Institute of Physics and Mathematics, Chinese Academy of Sciences (hereinafter referred to as “WIPM”). By copying, downloading, installing, o
10、r otherwise using the WIPM software, including but not limited to source code, libraries, application software, and any relevant material (hereinafter referred to as “Software”), you agree to be bound by the terms of this Agreement. This agreement also applies to later updates and upgrades of the So
11、ftware. If you do not agree to the terms of this Agreement, do not copy, install, download or use the Software. 1. LICENSE GRANT: Subject to all of the terms and conditions of this Agreement, WIPM grants to you a non-exclusive license to use the Software with the provisions of this Agreement.The Sof
12、tware use is divided into “non-commercial use“ and “commercial use“ in this Agreement:“Non-commercial use” refers to the individual or academic community to use the software for non-commercial purposes.“Commercial use” refers to the individual or group of institutions (such as companies, governments
13、, schools, military, social organizations and other types of organizations) to use this Software for commercial or profit-making purposes.NON-COMMERCIAL USE LICENSE: If you are using the Software under the control of a Noncommercial-Use license, you as an individual or academic community may use the

The Software may not be used for any other purpose, whether “for profit“ or “not for profit.“ Any work performed or produced as a result of use of the Software cannot be performed or produced for

WIPM will provide you with a license code key that enables the Software for a Noncommercial-Use license. You may NOT: (i) use or copy the Software except as provided in this Agreement; (ii) use the Software for commercial use before getting commercial-use license; (iii) Distribute, rent, lease, sell, mortgage or sublicensing the Software
20、to any third party; (iv) assign this Agreement or transfer the Software without the express written consent of WIPM; (v) modify, adapt, or translate the Software in whole or in part except as provided in this Agreement; (vi) reverse engineer, decompile, or disassemble the Software; (vii) attempt to
21、modify or tamper with the normal function of a license manager that regulates usage of the Software; (vii) distribute, sublicense or transfer the Source Code form of any components of the Software.3. COPYRIGHT: Title to the Software and all copies thereof remain with WIPM independently. The Software
22、 are copyrighted and are protected by Copyright Law of the Peoples Republic of China and international treaty provisions. You will not remove or modify any copyright notice (Powered by WIPM) and website links of WIPM (http:/) of the Software. You agree to prevent any unauthorized copying of the Soft

Except as expressly provided herein, no license or right is granted to you directly or by implication, inducement, estoppel or otherwise, specifically WIPM does not grant any express or implied right to you under WIPM patents, copyrights, trademarks, or trade secret information. 4. BETA SOFTWA
24、RE:“Beta Software“ shall mean the beta version of the Software. The performance and compatibility of Beta Software dose not reach the level of the final version. Significant changes may be done to the Beta Software. Do NOT use it in formal work and you use it at your own risk.5. RESERVATION OF RIGHT
25、S AND OWNERSHIPWIPM reserves ownership and all rights not expressly granted to you by this Agreement.6. DISCLAIMER OF WARRANTY:The software is licensed “as-is.” You bear the risk of using it. WIPM gives no express warranties, guarantees or conditions. WIPM WILL NOT BE LIABLE FOR ANY DAMAGES WHATSOEV
26、ER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF WIPM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. You may have additional consumer
27、rights under your local laws which this agreement cannot change. To the extent permitted under your local laws, WIPM excludes the fitness for a particular purpose and non-infringement.WIPM (http:/) provide the only explanation on the detailed Agreement and technical services of the Software. WIPM ha
28、s the power to modify the license agreement and authorization services prices without prior notice. The modified agreement will enter into force to the new authorized user from the day it has been modified.7. TERMINATION OF THIS LICENSE: This Agreement becomes effective on the date you accept this A
29、greement and will continue until terminated as provided for in this Agreement. WIPM may terminate this license immediately if you are in breach of any of its terms and conditions. Upon termination, you will immediately return to WIPM or destroy the Software and all copies thereof. 8. GENERAL PROVISI
30、ONS ENTIRE AGREEMENT: This Agreement is intended to be the entire agreement between you and WIPM with respect to matters contained herein, and supersedes all prior or contemporaneous agreements and negotiations with respect to those matters. No waiver of any breach or default shall constitute a waiv
31、er of any subsequent breach or default. If any provision of this Agreement is determined by a court to be unenforceable, you and WIPM will deem the provision to be modified to the extent necessary to allow it to be enforced to the extent permitted by law, or if it cannot be modified, the provision w
32、ill be severed and deleted from this Agreement, and the remainder of the Agreement will continue in effect. Any change, modification or waiver to this Agreement must be in writing and signed by an authorized representative of you and WIPM. 9. THIRD PARTY PROGRAMS The Software may include third party
33、 programs or materials. The license terms with those programs or materials apply to your use of them, and WIPM is not liable for them. 10. APPLICABLE LAWIf you acquired the Software in China, this Agreement shall be subject to Laws of the Peoples Republic of China. If you acquired the software in any other country, the laws of that country apply.
